Real Estate

Our real estate department understands all aspects of commercial and residential real estate transactions and litigation. We represent many institutional lenders, as well as residential buyers and sellers. For institutional lenders, we prepare and review residential and construction loan documents, phase residential and condominium development plans and contracts, and title insurance documentation and coverage. We also have established long-term relationships with engineers, planners, architects, brokers, and other specialists. These relationships allow us to provide representation to commercial developer clients in a wide range of legal matters. Business and Commercial Law

We handle transactional work that includes employment contracts and agreements, such as non-compete agreements and non-disclosure agreements, acquisitions and sales, entity selection and establishment, commercial leasing, identifying and obtaining financing, and drafting operational and employment policies. Often, business disputes turn on an alleged breach of a written contract. In Massachusetts, an enforceable contract is created if one party offers to supply property, goods, or services to another party, the offer is accepted, and all parties to the written agreement promise to exchange something of value, which is known as consideration. We also represent and counsel clients in corporate succession and regulatory compliance matters. Providing cost-effective and timely representation, we advocate for organizations large and small, ranging from corporations to closely held family businesses.

Construction Law

Construction projects may involve residential or commercial buildings, highway improvements, or mega-projects, such as the Big Dig. Often, these projects are complicated and involve multiple contracts, as well as obligations and rights imposed by statute. When a construction dispute unfolds, it is crucial to retain an attorney who understands how to navigate the complicated legal questions that arise when there are many parties with contrasting goals. We represent and advise engineers, architects, contractors, property owners, real estate brokers, developers, and others in disputes arising from construction projects of varying sizes. We handle contract negotiation, insurance and risk reduction, litigation, OSHA compliance, indemnification and risk transfer, liquidated damages claims, worksite injury claims, and project financing.

Corporate Law

We represent corporate clients of all sizes. Our corporate law attorneys provide legal services in commercial real estate, litigation, leasing, organizational formation, structure and operating agreements, the purchase and sale of businesses, and employment issues and litigation. We also represent clients in matters related to trademarks, licensing, joint ventures, mergers and acquisitions, estates, construction, and zoning and land use. Insurance Defense

For more than 25 years, we have represented national and international insurers, and we also have represented their insured. The obligations and rights of insurers are contained in insurance contracts. The question of whether there is a duty to defend or indemnify in a certain situation turns on the contract language. Our experience allows us to provide the insurance industry with comprehensive legal services. Many of our attorneys who practice in this area are trained in the insurance industry, and some have received a CPCU designation. We provide sophisticated coverage analysis, opinions, and advice. We litigate in federal and state courts in Massachusetts and Rhode Island, and we have been specially admitted to practice in certain other states as well.

Sexual Abuse Survivors

We represent victims of sexual abuse, including victims abused in a range of institutional settings, such as camps, religious institutions, and schools. From 2001-2004, our trial attorney Roderick MacLeish represented more than 350 victims of clergy abuse, including over 220 people abused by priests of the Archdiocese of Boston. He was recognized by the National Law Journal for his work in that case. Our firm also represents victims of sexual harassment. Title VII of the Civil Rights Act of 1964 is the federal law that prohibits sexual harassment against employees and job applicants as a form of sex discrimination. State and local laws also prohibit sexual harassment.
